Terms of Service

The plain-language agreement for using Flowly. By using the app you agree to what’s below.

1. Acceptance of Terms

By accessing or using Flowly ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

Flowly provides software and optional cloud services for running and managing a personal AI agent you control. The Service includes desktop and mobile applications, direct and managed-relay connections, hosted model access, integrations, synchronization, and related features. Some features can be used locally or with an independent provider; others require a Flowly account or cloud processing.

3. Eligibility

You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this agreement.

4. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

5. Acceptable Use Policy

You agree not to use the Service for any illegal, harmful, or abusive purposes. The following activities are strictly prohibited:

Zero Tolerance (Immediate Termination):

  • Child sexual abuse material (CSAM) or child exploitation
  • Terrorism, violent extremism, or incitement to violence
  • Human trafficking or exploitation
  • Distribution of malware, ransomware, or other malicious software

Prohibited Activities:

  • Drug trafficking or illegal arms sales
  • Fraud, scams, phishing, or identity theft
  • Spam or unsolicited bulk messaging
  • Harassment, stalking, or threats against individuals
  • Hate speech or discrimination based on protected characteristics
  • Copyright infringement or intellectual property violations
  • Unauthorized access to systems or data
  • Violation of third-party platform terms (Telegram, WhatsApp, Gmail)
  • Using your Flowly Cloud subscription credentials (account tokens, relay tokens, gateway tokens, JWT secrets) in unofficial clients, third-party harnesses, or custom wrappers that proxy Flowly Cloud requests through your subscription. Authorized clients are: Flowly Desktop, Flowly Mobile (iOS/Android), Flowly Browser Extension, and the official open-source CLI/TUI. Programmatic or commercial use requires direct API access at metered billing — contact sales@useflowlyapp.com.

We reserve the right to determine, in our sole discretion, whether any use violates these terms.

6. User Content & Responsibility

You are responsible for content and actions initiated through your personal agent and for having the rights and permissions needed to process that content. We do not routinely review conversation content. Where Flowly infrastructure technically has access, authorized access may occur only as described in the Privacy Policy and when reasonably necessary to:

  • Respond to valid legal requests and court orders
  • Investigate reports of abuse or violations
  • Suspend or terminate accounts upon credible reports of illegal activity
  • Cooperate with law enforcement when legally required

7. Model Processing & Third-Party Services

Model and feature processing depends on the route you configure. By using the relevant feature, you acknowledge that:

  • When you select the Flowly provider, request content is sent through Flowly's hosted endpoint to OpenRouter and the model provider routed for that request
  • When you configure your own provider credentials or a local or self-hosted endpoint, processing can occur directly with that independently selected provider or infrastructure instead of Flowly's hosted model endpoint
  • Generated responses are automated and may contain errors; you are responsible for reviewing them before relying on or acting on them
  • Third-party and independently configured providers have their own terms, privacy notices, retention, and model-training practices

8. Payment Terms

Subscription Plans: Paid plans are billed monthly. All fees are non-refundable except as required by law.

Usage Credits: Credits are Flowly's internal unit of account for usage. They have no cash value, are not redeemable for money, and can only be spent within the Service. Paid plans include a monthly credit allowance that resets at the start of each billing cycle and does not roll over. Each request costs a number of credits determined by the model you choose and the volume of text processed, at the credit rates we publish in our documentation. Failed requests are not charged. When your balance is exhausted, requests are paused until the next billing cycle or until you add pay-as-you-go credits. Free models remain available at no cost.

Pay-as-you-go credits: Pay-as-you-go credits you purchase never expire while your account is open and are non-refundable.

Price and Rate Changes: We may change subscription prices, plan credit allowances, or the credit rates charged per model with 30 days notice, given by email or in the Service. Continued use after that period constitutes acceptance. Credits already in your balance are never revalued: a change to credit rates affects what future requests cost, not the number of credits you hold.

9. Account Termination

We may suspend or terminate your account immediately, without prior notice, for:

  • Violation of these Terms or any applicable law
  • Abuse reports that we determine to be credible
  • Repeated violations of any kind
  • Legal requirements or law enforcement requests
Upon termination, your right to use the Service ceases immediately. Your assistant configurations may be deleted without the ability to recover data.

10. Copyright & DMCA

We respect intellectual property rights and respond to valid DMCA takedown notices. If you believe content on our platform infringes your copyright:

  • Send a written notice to: legal@nocetic.com
  • Include identification of the copyrighted work
  • Include the location of the infringing material
  • Include your contact information and a statement of good faith

We maintain a repeat infringer policy and will terminate accounts of users who repeatedly infringe copyrights.

11. Indemnification

You agree to indemnify, defend, and hold harmless Flowly, Nocetic, and their officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content processed through your account

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. AI-GENERATED CONTENT MAY CONTAIN ERRORS OR INACCURACIES.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOWLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, RESULTING FROM YOUR USE OF THE SERVICE.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Turkey, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Istanbul, Turkey.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by email or through the Service. Your continued use after changes constitutes acceptance of the new terms.
